Terms and Conditions of Sale
Article 1: Preamble
These terms and conditions are entered into between:
- On one hand, "Galerie La Chapelle," a trade name used by SPIRIT LAND OF AFRICA (S.L.O.A.), a limited liability company (SARL) with a capital of 500,000 FCFA, located at Avenue Malick SY, Lot 69, DAKAR, SENEGAL, N.I.N.E.A 010141977, hereinafter referred to as "the seller."
- On the other hand, any individual or legal entity wishing to make a purchase via the seller's website, hereinafter referred to as "the buyer."
Article 2: Purpose
The purpose of these terms and conditions is to define the contractual relationship between the seller and the buyer as well as the conditions applicable to any purchase made via the website spiritlandofafrica.com, whether the buyer is a professional or a consumer.
Purchasing a product or service through this site implies unreserved acceptance of these terms and conditions by the buyer, who acknowledges having read them before placing an order. These terms and conditions shall prevail over any other general or specific conditions not expressly approved by the seller.
The buyer also acknowledges having full legal capacity to engage under these terms and conditions. The seller reserves the right to modify these terms and conditions at any time to comply with new regulations or improve the site's usability. Therefore, the applicable terms and conditions will be those in effect on the date of the order by the buyer.
Article 3: Characteristics of the Products and Services Offered
The products and services offered are those listed on the seller's website and/or in the gallery located at Rue Principale, 32320 BASSOUES, France, referred to as "GALERIE LA CHAPELLE."
Each product is accompanied by a description provided by the seller. The website's photographs are as accurate as possible but cannot guarantee perfect similarity with the offered product, particularly concerning colors and potential defects. Descriptions and photographs are not binding on the seller.
These products and services are offered subject to availability. If some or all items are unavailable, the seller will notify the buyer via email and offer an alternative product or the option to cancel the unavailable items at no cost. Available items will be delivered as usual.
Article 4: Pricing
Prices for products and services displayed on the website are in euros (€), inclusive of all taxes (VAT). The applicable VAT rate is that in effect on the order date. Any changes in the VAT rate will be reflected immediately in the product price by the seller.
Customs clearance fees are the buyer's responsibility. The seller reserves the right to change its prices at any time. Prices do not include order processing, shipping, and delivery costs, which are charged in addition to the product price based on the total order amount.
Article 5: Geographic Zones
The online sale of products presented on the website is not limited to a specific region. We ship worldwide.
Article 6: Orders
To purchase a product or service, the buyer must:
- Complete the identification form, providing all required details or their customer number if applicable.
- Fill out the online order form, indicating the selected products or services.
- Validate the order after checking it.
- Make payment under the specified conditions.
- Confirm the order and payment.
Order confirmation implies acceptance of these terms and conditions, acknowledgment of complete understanding, and waiver of invoking other terms and conditions. Validation of an order by the buyer entails a payment obligation.
All provided data and the recorded confirmation will constitute proof of the transaction. Confirmation equals signature and acceptance of the conducted operations. The seller will confirm the recorded order via email.
Article 7: Right of Withdrawal
Under the law, the buyer has the right to notify the seller of their withdrawal without penalty and without justification within 14 business days from the day after delivery of the product. This right does not apply to professional buyers.
During this 14-day period, the buyer must notify their intention to withdraw by email and return the delivered product at their expense and risk to the company's administrative headquarters or another address agreed upon with the seller. Products must be returned in their original packaging, undamaged, with all accessories, accompanying documents, and the original invoice/delivery note if applicable.
Incomplete, damaged, or soiled items will not be accepted. Within 30 days of receiving the returned merchandise, the seller commits to issuing a refund in the form of a voucher, minus shipping and order processing fees.
Article 8: Payment Methods
The company "SPIRIT LAND OF AFRICA" offers buyers two payment options:
- Bank transfer.
- Secure payment via PayPal or credit card.
Article 9: Delivery
Deliveries are made to the address provided on the order form and can only be within the agreed geographic area. The merchandise is transported at the seller's risk until delivery to the specified address. The buyer must provide necessary proof in case of damage or loss during transport.
Article 10: Liability
The seller's responsibility in the online sales process is limited to an obligation of means and cannot be held liable for damages resulting from internet use, such as data loss, intrusion, virus, service interruption, or other involuntary issues.
Article 11: Intellectual Property
All elements of the seller's website are and remain its exclusive intellectual property.
Article 12: Personal Data
All personal data required for order processing is kept by the seller or its collaborators and may be shared with companies involved in order processing. The seller commits not to disclose personal information to other companies.
Article 13: Evidence
Electronic evidence is accepted by both parties (e.g., email, IT backups).
Article 14: Dispute Resolution
These online sales terms are governed by Senegalese law. In case of dispute, the courts of Dakar (Senegal) have jurisdiction.
